CRH's $8.5B buyout locks in premium; weak Q2 is a side note

  • CRH agrees to acquire Arcosa for $8.5 billion CRH will buy Arcosa for $150 per share in cash, a 10% premium to the prior close. This puts a firm floor under the stock near the deal price and is the main reason ACA is moving. The deal is expected to close in early 2027.

This is the central event that now determines ACA's price, as the stock will trade around the buyout price.

  • Arcosa misses Q2 estimates and suspends guidance Arcosa reported weaker-than-expected second-quarter results and stopped giving financial forecasts because of the pending merger. While this shows the business is slowing, the buyout price is already agreed, so the miss has little impact on the deal value.

It is the main counterweight to the positive deal news, but its effect on the stock is limited by the fixed buyout price.

  • CRH's strong Q2 and strategic fit support deal completion CRH reported solid second-quarter results and reaffirmed its full-year outlook, showing it has the financial strength to complete the acquisition. The deal adds aggregates and energy infrastructure assets that fit CRH's growth strategy, making it more likely to close.

It reduces the risk that the buyer walks away, which helps keep ACA's stock near the deal price.

Arcosa Shareholders Approve CRH's $8.5 Billion Takeover

Arcosa shareholders approved CRH's proposed acquisition of the company on September 4, with 39,595,867 votes in favor against 66,113 opposed and 16,786 abstentions, representing 80.8% of shares outstanding as of the record date. The all-cash deal values Arcosa at $150 per share, or an enterprise value of approximately $8.5 billion, which CRH described as 11.5 times estimated 2026 adjusted EBITDA including $175 million of targeted annual run-rate cost synergies expected by year three. The companies continue to expect a first-quarter 2027 closing, subject to required regulatory approvals and other customary conditions, and completion is not subject to a financing condition. The vote removes the principal seller-side approval risk, but antitrust clearance remains the dominant unresolved condition, with the initial outside date of June 21, 2027 automatically extending to September 21 and then December 21 if specified regulatory conditions remain outstanding. Arcosa would add 109 quarries and yards, nine asphalt plants, 19 terminals and approximately 35 million tons of 2025 aggregates shipments, giving CRH more than 265 million tons of combined annualized aggregates production.
ACA · Capital · Positive Shareholders approved CRH's $8.5B all-cash takeover of Arcosa at $150/share, removing the principal seller-side approval risk.

CRH to Acquire Arcosa for $8.5 Billion

CRH plc plans to acquire Arcosa, Inc. for approximately $8.5 billion, with closing expected in the first quarter of 2027. The deal would add about 35 million tons of annual aggregates production, lifting CRH's annualized U.S. aggregates production to more than 265 million tons and expanding its presence in 13 of the 50 largest U.S. metropolitan areas. Arcosa's Engineered Structures business, which holds a top-three market position, would also extend CRH into energy infrastructure tied to grid modernization, electrification and data center construction. CRH expects approximately $175 million of annual run-rate cost synergies by year three and says the transaction will be accretive to earnings, margin and cash flow in the first 12 months after completion.
