Vista Gold Agrees to Artemis Gold Takeover in All-Stock Deal
Vista Gold Corp. announced on September 21 that it had agreed to be acquired by Artemis Gold Inc. in an all-stock deal signed September 20, under which Vista shareholders would receive 0.0966 Artemis common shares for each existing common share and own approximately 5% of the combined company, excluding Artemis's existing 4.95% stake in Vista, which Artemis intends to cancel at completion. The acquisition requires no cash consideration or new acquisition debt, and Vista ended June 2026 with $49.5 million in cash and no debt, which management described as sufficient for interim development objectives. The central question is whether Artemis, which operates the Blackwater mine in British Columbia, can supply the capital and execution needed to bring Australia's Mt Todd gold project into production, since Mt Todd construction spending is expected only after Blackwater's Phase 1A and EP2 expansions are completed, with EP2 completion expected by mid-2028. Closing is targeted for January 2027, subject to shareholder, court and regulatory approvals.
