SEC urges ETC shareholders to cast decisive vote on 330 million baht BWC share purchase after IFA flags price as significantly overvalued
The Securities and Exchange Commission (SEC) is asking shareholders of Earth Tech Environment Public Company Limited [ETC] to study the information and exercise their voting rights at the first extraordinary general meeting of shareholders for 2026, to be held on 6 October 2026, regarding ETC's plan to purchase shares of Better Waste Care Company Limited (BWC) from Better World Green Public Company Limited [BWG], BWC's major shareholder. The deal covers 2,998,800 shares at 110.04 baht per share, for a total value of 330 million baht. The independent financial advisor (IFA) is of the view that shareholders should not approve the transaction because the purchase price is significantly higher than the fair value of BWC. The IFA assessed the value of the investment in BWC using the discounted cash flow (DCF) method at 252.87 to 295.38 million baht, or 11.77 to 30.56 percent below the transaction price. ETC's board of directors and audit committee, however, see the purchase of BWC shares as necessary, reasonable and beneficial in the long term, helping to diversify risk from the power generation business into the industrial waste treatment, disposal and rehabilitation business, and say the price is based on an Adjusted Book Value valuation, which is appropriate because it references the actual asset value in the financial statements. This transaction qualifies as a connected transaction of a listed company and must be approved by the shareholders' meeting with votes of no less than three-quarters of the total votes of shareholders attending the meeting and entitled to vote, excluding shareholders with a stake in the matter. And because the IFA deems the transaction inadvisable, there must be no opposing shareholders representing 10 percent or more of total voting rights. Anek Yuyuen, deputy secretary-general and spokesman of the SEC, said that under the new connected transaction rules, if there is a transaction that the audit committee or the IFA does not agree with, shareholders will be given the opportunity to block the transaction if there are objections from 10 percent of eligible voters attending the meeting, an important mechanism for increasing shareholder protection. BWG and AKP Join Forces to Destroy 2 Million Counterfeit Items Worth 2 Billion Baht
Better World Green Public Company Limited, or BWG, and Akkhie Prakarn Public Company Limited, or AKP, joined hands to support the government at the annual ceremony to destroy seized items in finalized intellectual property infringement cases for the year 2026, organized by the Department of Intellectual Property under the Ministry of Commerce together with the Royal Thai Police, the Customs Department, and the Department of Special Investigation. The event was held at the reserve training ground of the 1st Air Defense Artillery Battalion, 7th Regiment, Air Defense Command, Royal Thai Army, in Don Mueang District, Bangkok, with Dr. Piyanuch Wuttisorn, Assistant Minister to the Ministry of Commerce, presiding over the ceremony. General, non-hazardous seized goods will be sent to the renewable energy center at Nakhon Luang Industrial Estate in Phra Nakhon Si Ayutthaya Province to be crushed and shredded, completely destroying their condition before being processed into industrial refuse-derived fuel, or RDF, to feed the power plant of Recovery House Company Limited, part of the Earth Tech Environment Public Company Limited group. Meanwhile, seized items in the chemical, drug, medical supply, and counterfeit cosmetics groups will be sent to the high-temperature incinerator industrial waste disposal management center of Akkhie Prakarn Public Company Limited at Bang Pu Industrial Estate in Samut Prakan Province, which uses specialized incinerator technology controlling temperatures above 1,000 to 1,200 degrees Celsius, along with air pollution treatment systems and a real-time air quality monitoring system, or CEMS, to ensure complete combustion with no residue, no odor, and no impact on the environment or surrounding communities.
