Aolian Electronics' 21.2% stake changes hands at a 20.26% premium; actual controller becomes Chen Yang
Aolian Electronics' controlling shareholder Ruiying Assets plans to transfer its 21.2% stake in the company by agreement at 19.29 yuan per share, a 20.26% premium over the pre-suspension closing price of 16.04 yuan, for a total consideration of about 700 million yuan. Of this, 16.2% will go to Juntu Tianze and 5% to Quzhou Xin'an Guanghe. After the deal, the controlling shareholder will change from Ruiying Assets to Juntu Tianze, and the actual controller will change from Qian Mingfei to Chen Yang. Trading in the shares will resume from the market open on September 24. The new actual controller Chen Yang is chairman and legal representative of Wuxi Langxian Lightweight Technology, which is also in the auto parts industry. Wuxi Langxian filed for IPO tutoring with the Jiangsu Securities Regulatory Bureau in January 2022, and the tutoring status is now withdrawn. Juntu Tianze and its actual controller have promised not to inject assets held by related parties into the listed company through major asset restructuring within 36 months of the deal's completion. Previously, in December 2025, Ruiying Assets had planned to transfer a 19.09% stake to Tianjin Chaocheng Innovation, but the plan was terminated in February this year because the transaction payment was not received in full. Aolian Electronics is embroiled in securities misrepresentation litigation arising from its cross-sector perovskite venture, and as of the first half of this year its estimated liability balance was still as high as 60.5262 million yuan. In the first half of 2026, the company reported revenue of 173 million yuan, down 20.11% year on year, and net profit attributable to shareholders of the listed company of negative 14.94 million yuan, compared with 1.79 million yuan a year earlier.
