In addition, it offers analog and digital imaging technology, X-ray film, digital radiography equipment, and image processing software for the diagnostic imaging market. Agfa-Gevaert NV was founded in 1867 and is headquartered in Mortsel, Belgium.

EFI and Agfa to Combine DPS Business in Industrial Inkjet Deal

Electronics for Imaging, Inc. and Agfa-Gevaert have signed a definitive agreement to combine Agfa's Digital Printing Solutions business with EFI, creating a global full-service industrial inkjet company. An affiliate of Siris will hold a 60% interest and Agfa will hold a 40% interest in the jointly held company, with Siris and Agfa acting as equal partners under the governance structure. The combined company is expected to generate approximately €540 million ($625 million) of revenue in 2026 on a pro forma basis and will serve thousands of customers across more than 100 countries. The deal follows the global partnership EFI and Agfa established in 2024 and is expected to close by the end of 2026, subject to customary employee information and consultation processes, regulatory approvals and closing conditions. EFI and Siris were advised by DC Advisory as exclusive financial advisor and Sidley Austin LLP as legal advisor.

Agfa-Gevaert Extends 180 Million Euro Revolving Credit Facility to 2030

Agfa-Gevaert NV has extended its 180 million euro revolving credit facility to August 1, 2030, pushing back a maturity that had previously been scheduled for August 1, 2028. The facility, used for working capital and general corporate purposes, is now also secured by a pledge of the Agfa HealthCare shares. The financial covenants include a maximum leverage ratio of 3.0, a minimum interest coverage ratio of 4.0, and a minimum liquidity headroom of 30 million euro, tested half-yearly or quarterly as required by the facility agreement. The revolving credit facility has been arranged by a club of 4 financial institutions: BNP Paribas Fortis SA/NV, KBC Bank NV, Belfius Bank SA/NV and ING Belgium SA/NV. The Agfa-Gevaert Group, an imaging technology company with nearly 160 years of experience, realized a turnover of 1,086 million euro in 2025.

Siris to acquire Active Ownership's 19.1% stake in Agfa-Gevaert

Siris Capital Group has signed a strategic investment in Agfa-Gevaert NV to acquire the 19.1% stake currently held by Active Ownership, Agfa-Gevaert announced. Terms of the transaction were not disclosed. The deal is subject to the closing of the previously announced agreement to combine Agfa's Digital Printing Solutions business with Electronics for Imaging, Inc., a Siris portfolio company, which in turn is subject to customary regulatory approvals and closing conditions. Frank Baker, Co-Founder and Managing Partner of Siris, said the firm has gained a deeper appreciation for the strength of the business through its work with the Agfa team on the EFI-Agfa DPS combination, and that Siris is excited to deepen its partnership with Agfa and serve as a constructive shareholder. Agfa-Gevaert posts resilient Q2 2026 results amid market challenges

Agfa-Gevaert reported a resilient performance in the second quarter of 2026, with group revenue nearly stable at 275 million euro, a 0.7% decline excluding currency impact, and adjusted EBITDA rising to 14 million euro from 13 million euro a year earlier. The company's savings programs delivered annualized savings of 61 million euro by the end of Q2, offsetting the impact of the cloud transition in HealthCare IT and soft market conditions for Green Hydrogen Solutions. HealthCare IT saw its 12-month rolling order intake jump 27.5% to 192 million euro, with cloud technology now representing 51% of total order intake, up from 4% in Q2 2025. Within Industrial Solutions, Digital Printing Solutions grew 10.8% excluding currency, but Green Hydrogen Solutions plunged 77% due to market weakness. Imaging and Chemicals revenue rose 2.6% excluding currency, with adjusted EBITDA surging to 8.9 million euro. The group posted a net loss of 15 million euro, versus a profit of 30 million euro in Q2 2025, which had benefited from a 38 million euro arbitration award. Free cash flow was negative 10 million euro, and net financial debt excluding IFRS 16 rose to 74 million euro. Agfa-Gevaert also noted that a German court annulled a prior arbitration award in the AgfaPhoto case, and the company has appealed to the Federal Court of Justice, a process expected to take 12 to 15 months.
